PLEASE READ THIS TERMS OF SERVICE AGREEMENT (THE "TERMS OF SERVICE") CAREFULLY. This agreement applies to the heurist.ai website and all subdomains thereof ("Website") and the services and resources available on or enabled via the Website (collectively the "Platform") which is owned and operated by Heurist AI Inc. ("Heurist," "we," or "us").

These Terms of Service govern your use of the Website and all services and resources available or enabled by Heurist via the Website, application or API (each a "Service" and collectively with the Website, the "Services") and apply to all internet users visiting the Website ("Users").

BY ACCESSING OR USING THE WEBSITE IN ANY WAY, including clicking on any "I accept" button, completing a registration process, downloading or using any application we make available ("Application"), or using any application programming interfaces (API) that we make available, you represent that (1) you have read, understand, and agree to be bound by the Terms of Use, (2) you are of legal age to form a binding contract with Heurist, and (3) you have the authority to enter into the Terms of Use personally or on behalf of the entity you have named as the user.

Heurist provides a decentralized AI-as-a-Service platform that offers:

• Serverless AI-as-a-Service: Access to LLMs, VLMs, Embedding Models, Image & Video Generation Models through intuitive APIs and SDKs
• Heurist Agent Framework: Build AI agents that connect to Heurist services and interact with other agents
• Heurist Mesh: An open network of specialized AI agents that work together in a composable agent swarm
• Developer Tools: API-first infrastructure and tools for building AI applications

The Terms of Service include (1) your agreement that Heurist has no liability regarding third-party AI models or services; (2) your agreement that the Services are provided "as is" and without warranty; (3) your consent to release Heurist from liability; and (4) your agreement to indemnify Heurist for your use of, or inability to use, the Services.

To access certain features of the Services, you may be required to connect a compatible cryptocurrency wallet. By connecting your wallet, you authorize Heurist to interact with your wallet according to the permissions you grant.

You are solely responsible for maintaining the security of your wallet, including your private keys, seed phrases, and any other wallet credentials. You acknowledge that Heurist does not have access to or control over your private keys or wallet contents.

You are responsible for all activities that occur through your connected wallet. You agree to notify Heurist immediately if you suspect any unauthorized access to or use of your wallet in connection with our Services.

As a condition of use, you agree not to use the Services for any purpose that is prohibited by this Agreement or by applicable law. You shall not:

• Use the Services to generate harmful, illegal, misleading, or inappropriate content
• Violate any applicable laws or regulations in your use of the Services
• Engage in any activity that could damage, disable, or impair the Services
• Attempt to reverse engineer, exploit, or gain unauthorized access to our systems
• Interfere with or disrupt the Services or other users' access to the Services

When using our AI models and services, you acknowledge and agree that:

• AI models may produce inaccurate, biased, or inappropriate outputs ("AI hallucinations")
• You are responsible for reviewing and validating all AI-generated content before use
• We do not guarantee the accuracy, reliability, or suitability of AI outputs for any purpose
• You retain ownership of your inputs and generated outputs
• We may process your inputs to improve our AI models and services, but we do not use your content to train generative AI models without explicit consent
• Third-party tools may be made available through our Services, and their use is subject to their respective terms and privacy policies
• AI-generated content may inadvertently infringe upon third-party intellectual property rights
• You are solely responsible for ensuring your use of AI outputs complies with applicable copyright, trademark, and other intellectual property laws

Our Rights: Heurist retains all rights to our platform, technology, and services.

Your Content: You retain ownership of content you input, but grant us necessary rights to provide our services.

AI-Generated Content: Ownership and rights to AI-generated content may be subject to applicable laws and the terms of the underlying AI models.

If you access our Services through APIs, additional terms apply:

• API usage is subject to rate limits and quotas that may change without notice
• You may not exceed assigned usage limits or attempt to circumvent restrictions
• API keys are confidential and must not be shared or exposed publicly
• We reserve the right to suspend API access for violations or abuse
• Applications built using our APIs must comply with our content policies
• Commercial use of APIs may require separate licensing agreements

We are committed to protecting your privacy. Our data practices include:

• Minimal data collection necessary for service operation
• Secure handling of any personal information
• Transparent communication about data usage
• Compliance with applicable privacy regulations

Participation in cryptocurrency and blockchain technologies involves significant risks, including:

• High volatility and potential loss of value
• Regulatory changes that may affect token value or usability
• Technical risks including smart contract vulnerabilities
• Market risks and liquidity concerns

You should only participate if you understand and can afford these risks.

Heurist may use a credits system for accessing AI services. Credits may be purchased or earned through various platform activities. Credits have no cash value and are non-transferable except as specifically permitted by Heurist. Credits are not redeemable for cash or other assets.

Heurist may offer email communication services that allow users to receive updates, notifications, and marketing communications by providing their email address through our website or API applications.

By providing your email address to Heurist, you consent to receive electronic communications from us, including:

• Service-related notifications and updates
• Product announcements and feature updates
• Marketing communications about our services
• Newsletter content and community updates
• Important legal or policy changes

Opting Out: You may unsubscribe from our email communications at any time by clicking the "unsubscribe" link in any email we send you, or by contacting us directly at [email protected].

Heurist may charge fees in connection with your use of the Services. We may change our fees from time to time by updating the Website. All payments must be made through the Services using accepted payment methods.

Except as set forth in this Agreement, all fees for the Services are non-refundable. You are responsible for any taxes, processing fees, or other charges associated with your use of the Services.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. Heurist expressly disclaims all warranties, representations, and conditions of any kind, whether express or implied.

We make no warranty that: (i) the Services will meet your requirements; (ii) your use of the Services will be uninterrupted, timely, secure or error-free; or (iii) the results from use of the Services will be accurate or reliable.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT SHALL HEURIST BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT OR YOUR USE OF THE SERVICES.

Cap on Liability: Heurist's total liability to you for all claims shall not exceed the greater of (a) the total amount paid to Heurist by you during the one-month period prior to the act giving rise to such liability, or (b) $100.

You agree to indemnify and hold Heurist harmless from any losses, costs, liabilities and expenses relating to or arising out of: (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any rights of another party; or (d) your violation of any applicable laws.

Arbitration Agreement: Any dispute arising out of or relating to this Agreement will be resolved by binding arbitration rather than in court, except for claims that may be brought in small claims court.

Class Action Waiver: You agree that disputes will be resolved on an individual basis and not as part of a class, collective, or representative action.

You have the right to opt out of this arbitration agreement by sending written notice within thirty (30) days of first accepting these Terms.

These Terms are governed by the laws of the British Virgin Islands. Any disputes will be resolved in accordance with the laws of that jurisdiction.

We may terminate or suspend your access to the Services at any time, with or without notice, for any reason including breach of these Terms. Upon termination, your right to use the Services will cease immediately. You may discontinue use of the Services at any time by simply disconnecting your wallet and ceasing to access our platform.

Termination does not affect any rights or obligations that have accrued prior to termination, including but not limited to any outstanding payment obligations or credits balances.

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Services after changes constitutes acceptance of the new Terms.

This Agreement constitutes the entire agreement between you and Heurist regarding the Services and supersedes all prior agreements and understandings.

By using our Services, you acknowledge that you have read and understood these Terms of Service.
